IT Consultant - Standard Terms and Conditions
This document sets out the standard terms
and conditions of the provision of services where you, the IT consultant,
are supplying general IT consultancy services to a client on your
terms.
A set of standard terms and conditions, such
as this document, is useful when you conduct business by presenting
your terms along with a proposal to your client for their acceptance.
If, however, you conduct business by drawing up a contract which
is signed by both parties then you might be interested in our range
of general Consultancy
Agreements. Either style of document can be used to specify
the terms of a consultancy project - it just depends on how you
choose to conduct business.
This terms and conditions document is aimed
at IT consultants who provide general IT consultancy such as advising
on IT systems, defining and analysis of requirements, training staff
and providing support. We also offer other documents for IT professionals
- please see the Related Clickdocs Documents section at the
bottom of this page or go to the Internet and IT section
using the menu on the left.
You must bring the terms and conditions to
the attention of the other party in a way which will allow them
to be incorporated into the contract. If the terms and conditions
are set out on the reverse of any proposal supplied to the client,
you should always ensure you fax both pages of a double sided document
and consider inserting a reference on the front page to your terms
and conditions on the reverse.
An optional proposal document is also included
so that you can provide your client with the specifics of the consultancy
services you will provide along with your standard terms and conditions.
The document sets out the precise arrangements
for the period of consultancy, taking into account the particular
requirements of providing IT consultancy including:
- client restriction on direct recruiting
- consultant's right to subcontract.
This IT Consultant Terms and Conditions document
is suitable for use in England, Wales and Scotland and includes
the following clauses:
- consultant details
- period of consultancy
- client obligations
- consultant obligations
- price and payment
- confidentiality
- intellectual property rights
- termination
- arbitration
- warranties and liabilities.
Comprehensive guidance notes on how to customise
the document to suit your business are included.
